1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between SkinFairy LLC, a limited liability company organized under the laws of the State of Maryland, doing business as Sivan Aesthetics ("Company," "we," "us," or "our"), and any individual or entity ("User," "you," or "your") who accesses, browses, or otherwise uses the website located at www.sivanaesthetics.com (the "Website") or engages in the purchase of services or products offered by the Company. By accessing the Website, scheduling an appointment, purchasing any product, or otherwise interacting with the Company's digital platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. Should you disagree with any provision contained herein, you must immediately cease all use of the Website and refrain from booking any services.

The Company reserves the unqualified right to amend, modify, or update these Terms at any time without prior individualized notice. Any such modification shall become effective upon its posting on the Website with a revised "Last Updated" date. Continued use of the Website after such changes constitutes your acceptance of and agreement to the modified Terms. Users bear the sole responsibility of reviewing these Terms periodically for updates.

2. ELIGIBILITY

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under applicable law. Minors under the age of eighteen may access aesthetic services only with the documented consent of a parent or legal guardian who agrees to be bound by these Terms on the minor's behalf. The Company reserves the right to refuse service to any individual who fails to satisfy these eligibility requirements, or for any other reason permitted under applicable law, including but not limited to the Maryland Consumer Protection Act, Commercial Law Article, Md. Ann. Code, §§ 13-101 et seq.

3. DESCRIPTION OF SERVICES AND PRODUCTS

Sivan Aesthetics is a sole-practitioner medical aesthetics studio located at 4903 Auburn Ave, Suite 201, Bethesda, MD 20814, operating by appointment only. The Company offers a range of professional skincare treatments, including but not limited to Hydrafacial treatments, chemical peels, customized facials, dermaplaning, microneedling, LED light therapy, and liquid microneedling (collectively, the "Services"). In addition, the Company may offer clinical-grade skincare products from brands such as SkinBetter, iS Clinical, Anfisa, and Glymed (collectively, the "Products") for retail purchase through the Website or in person.

All descriptions of Services and Products provided on the Website are for general informational purposes and do not constitute medical advice, a diagnosis, or a guarantee of specific outcomes. Individual results may vary based on skin type, condition, health history, and other factors unique to each client. The Company reserves the right to modify, discontinue, or adjust any Service or Product offering at any time without prior notice. Pricing for Services and Products is subject to change; however, any price applicable at the time of a confirmed booking or purchase shall govern the relevant transaction unless otherwise agreed in writing.

4. APPOINTMENT BOOKING, LATE ARRIVAL, AND NO-SHOW POLICY

4.1 Booking and Confirmation. All appointments must be scheduled through the Company's designated online booking system accessible via the Website or by contacting the Company directly at 301-880-0610 or info@sivanaesthetics.com. Upon scheduling an appointment, the User will receive an electronic confirmation. It is the User's responsibility to verify the accuracy of the appointment date, time, and selected service(s).

4.2 Cancellation Policy. Cancellations must be made no fewer than twenty-four (24) hours prior to the scheduled appointment time. Cancellations received within the required timeframe shall incur no penalty. Failure to provide timely cancellation, as defined herein, shall result in a late cancellation fee equivalent to 50% of the scheduled service price, which will be charged to the payment method on file.

4.3 Late Arrival. Clients arriving more than fifteen (15) minutes after the scheduled appointment time may, at the sole discretion of the Company, have their appointment shortened to accommodate the remaining time within the originally allotted window, or the appointment may be treated as a no-show. In the event of a shortened appointment, the full service price shall remain due and payable.

4.4 No-Show Policy. A "no-show" occurs when a client fails to appear for a scheduled appointment without providing cancellation notice as required by Section 4.2. No-shows shall be subject to a charge equal to 100% of the scheduled service price. Clients who accumulate two (2) or more no-show occurrences within a twelve-month period may, at the Company's discretion, be required to prepay in full for all future appointments as a condition of continued service.

4.5 Exceptions. The Company recognizes that extraordinary circumstances may arise, including medical emergencies or severe weather events. Requests for exceptions to the foregoing cancellation and no-show policies will be evaluated on a case-by-case basis at the sole and absolute discretion of the Company.

5. REFUND, RETURN, AND EXCHANGE POLICY

5.1 Services. All aesthetic services rendered by the Company are final and non-refundable. Due to the bespoke nature of each treatment, which is specifically tailored to the individual client's skin condition and needs, no refund, credit, or exchange shall be issued once a service has commenced. If a client is dissatisfied with the results of a completed treatment, the Company encourages the client to contact us at info@sivanaesthetics.com within seven (7) calendar days of the appointment to discuss concerns; however, such communication does not create any entitlement to a monetary refund.

5.2 Products. All retail purchases of skincare products are final sale and are not eligible for return, refund, or exchange. Given that the Products sold by the Company are clinical-grade skincare formulations, the integrity and safety of which cannot be guaranteed once the product has left the Company's custody, no returns shall be accepted. In the limited circumstance where a product is received in a demonstrably defective or damaged condition (such as a broken seal upon delivery, incorrect item shipped, or visible manufacturing defect), the client must notify the Company within forty-eight (48) hours of receipt by emailing info@sivanaesthetics.com with photographic evidence of the defect. Upon verification, the Company will, at its sole discretion, issue a replacement product or store credit. No monetary refunds shall be provided under any circumstance.

5.3 Compliance with State Law. Under the Maryland Consumer Protection Act, Md. Commercial Law Code Ann. §§ 13-101 et seq., retailers operating in the State of Maryland are required to clearly display or communicate their return policy to consumers. The Company's no-refund and final-sale policy, as stated herein and on the Website, satisfies that obligation. Users are advised that the absence of a right-to-return does not impair any rights they may otherwise hold under applicable federal or state consumer protection statutes in the event of fraud, misrepresentation, or sale of defective goods.

5.4 Gift Certificates and Prepaid Packages. Any gift certificates or prepaid service packages sold by the Company are non-refundable and non-transferable unless expressly stated otherwise at the time of purchase. Gift certificates shall remain valid for a period of four (4) years from the date of issuance, consistent with the requirements of the Credit Card Accountability Responsibility and Disclosure Act of 2009 (the "CARD Act"), 15 U.S.C. §§ 1693l-1 et seq., which prohibits the imposition of expiration dates shorter than five (5) years from issuance on gift cards and certificates; provided that the Company's four-year policy shall be extended to comply with any stricter federal or state standard, as applicable.

6. PAYMENT TERMS

All payments for Services and Products must be rendered at the time of service or purchase, unless a prior written arrangement has been made. The Company accepts major credit and debit cards as well as such other payment methods as may be indicated at the time of checkout. By providing payment information, the User authorizes the Company to charge the applicable fees, including any cancellation or no-show charges as outlined in Section 4. All amounts are denominated in United States Dollars (USD) and are inclusive of applicable taxes unless otherwise specified. Failure to remit payment when due may result in the suspension of the User's ability to book future appointments and, where permitted by law, may be subject to collection activity.

7. INTELLECTUAL PROPERTY AND COPYRIGHT POLICY

7.1 Ownership. All content, materials, and intellectual property displayed on the Website, including but not limited to text, graphics, logos, images, photographs, audio clips, video, software, and the overall design and layout (collectively, "Content"), are the exclusive property of SkinFairy LLC or its licensors and are protected under United States copyright law (17 U.S.C. §§ 101 et seq.), trademark law (15 U.S.C. §§ 1051 et seq.), and other applicable intellectual property statutes. No Content may be reproduced, distributed, modified, publicly displayed, or exploited in any manner without the prior written consent of the Company, except as expressly permitted under applicable fair use doctrines.

7.2 Limited License. The Company grants Users a limited, non-exclusive, non-transferable, revocable license to access and view the Content on the Website solely for personal, non-commercial use. Any unauthorized reproduction, publication, further distribution, or public exhibition of materials provided on the Website, in whole or in part, is strictly prohibited.

7.3 Digital Millennium Copyright Act (DMCA) Compliance. In accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512, the Company respects the intellectual property rights of others and expects its Users to do the same. If you believe that any content hosted on or accessible through the Website infringes upon your copyright, you may submit a written notification ("DMCA Takedown Notice") to the Company's designated agent at the address set forth below. A valid DMCA Takedown Notice must include substantially the following elements, pursuant to 17 U.S.C. § 512(c)(3)(A):

(a) A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
(b) Identification of the copyrighted work(s) claimed to have been infringed;
(c) Identification of the material alleged to be infringing, with information reasonably sufficient to enable the Company to locate such material on the Website;
(d) Contact information for the complaining party, including name, address, telephone number, and email address;
(e) A statement that the complaining party has a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
(f) A statement, made under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the copyright owner.

7.4 Repeat Infringer Policy. Consistent with the requirements of 17 U.S.C. § 512(i), the Company maintains a policy providing for the termination, in appropriate circumstances, of Users or account holders who are found to be repeat infringers of third-party copyrights.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

When using the Website, you agree not to engage in any of the following prohibited activities: (a) submitting false, misleading, or inaccurate information during the booking or purchase process; (b) using the Website for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation; (c) attempting to gain unauthorized access to any portion of the Website, any systems or networks connected thereto, or any server operated by the Company; (d) introducing viruses, Trojans, worms, logic bombs, or other technologically harmful material; (e) engaging in any form of data mining, scraping, or harvesting of Content or personal information from the Website; (f) impersonating any person or entity, or misrepresenting your affiliation with any person or entity; or (g) interfering with, disrupting, or placing an undue burden on the Website or its infrastructure. The Company reserves the right, without obligation, to monitor User activity on the Website and to take any action it deems appropriate in response to violations of these Terms, including suspension or permanent termination of access.

9. DISCLAIMER OF WARRANTIES

THE WEBSITE, ALL CONTENT, SERVICES, AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMPANY OR THROUGH THE WEBSITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. 10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL SKINFAIRY LLC, ITS OWNER, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE WEBSITE; (C) ANY CONTENT OBTAINED FROM THE WEBSITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN ALL CASES, THE COMPANY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SkinFairy LLC, its owner, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Website; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property, publicity, or privacy right; or (d) any claim that your actions caused damage to a third party. The indemnification obligation set forth herein shall survive the termination of these Terms and your cessation of use of the Website.

12. PRIVACY AND DATA PROTECTION

The Company collects, processes, and stores personal information in accordance with its separate Privacy Policy, which is available at www.sivanaesthetics.com/privacy-policy and is hereby incorporated by reference. By using the Website, you consent to the collection and use of your information as described in the Privacy Policy. The Company is committed to compliance with applicable data protection legislation, including the Maryland Online Data Privacy Act ("MODPA"), Md. Code Ann., Commercial Law §§ 14-4601 et seq., which took effect on October 1, 2025, and applies to personal data processing activities from April 1, 2026. Users may exercise their rights under the MODPA, including the right to access, correct, delete, and obtain a copy of their personal data, and the right to opt out of the processing of personal data for targeted advertising, by contacting the Company at info@sivanaesthetics.com. The Website may contain hyperlinks to third-party websites or services, including but not limited to the Company's online booking platform hosted by Aesthetic Record (accessible at https://fhkoz.myaestheticrecord.com/online-booking). Such third-party links are provided solely for the User's convenience. The Company does not endorse, control, or assume responsibility for the content, privacy practices, or terms of use of any third-party website or service. Your interactions with any third-party website are governed exclusively by that third party's own terms and policies, and you access such sites at your own risk.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any matter not addressed by state law shall be resolved under applicable federal law.

14.2 Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) calendar days from the date of written notice of the dispute. If the dispute remains unresolved after that period, either party may initiate binding arbitration in Montgomery County, Maryland, administered in accordance with the rules of the American Arbitration Association then in effect. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.3 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Should any court or arbitrator determine that this class action waiver is void or unenforceable for any reason, the arbitration agreement in Section 14.2 shall be deemed null and void in its entirety with respect to such proceeding.

15. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving the parties' original intent.

16. ENTIRE AGREEMENT AND WAIVER

These Terms, together with the Privacy Policy and Cookie Policy published on the Website, constitute the entire agreement between you and SkinFairy LLC with respect to the subject matter hereof, superseding all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between the parties. No waiver of any term or condition set forth herein shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
